Proposed Revision to Bylaws
The FVLC Executive Board recommends adoption of the following revision to the Bylaws. The membership will vote on adoption of the proposed revisions at the May 10, 2002 general meeting.

Bylaws of the Fox Valley Library Council, Inc.

Article I. Name and Authority

The name of this organization shall be the Fox Valley Library Council. It shall be established as a non-stock, non-profit corporation in accordance with the provisions of Chapter 181 of the Wisconsin Statutes. No asset or any part of the net earnings of the corporation whether upon dissolution or otherwise, shall inure to the benefit of any individual.

Article II. Purpose

It shall be the purpose of the Fox Valley Library Council to promote cooperation among all types of libraries and information centers in the Fox Valley area.

Article III. Membership

Section 1. Any individual library, information or resource center, or agency representing such institutions may be voting members of the Fox Valley Library council upon receipt of dues. Members have the right to vote on general council business to elect the Executive Board, set dues, and amend the bylaws. The Fox Valley Library Council reserves the right to refuse membership upon a majority vote of the members present at any regularly scheduled meeting.

Section 2. Dues shall be established annually by the members of the Fox Valley Library Council prior to the beginning of each fiscal year. Dues shall be based upon the following annual costs:

  1. General organizational and administrative costs
  2. Publication costs
  3. General publicity costs

Section 3. Members of the Fox Valley Library Council have the right to participate in any programs or activities established under the auspices of the Fox Valley Library Council. Participants in any cooperative programs or activities established under the auspices of the Fox Valley Library Council will directly share the costs of such programs or activities.

Article IV. Executive Board

Section 1. No later than thirty days before the beginning of the fiscal year officers shall be elected at the annual meeting by a majority vote of the Fox Valley Library Council members. The fiscal year is July 1 through June 30.

Section 2. The Vice-President, President-Elect, Secretary, and Treasurer, and three Directors shall be elected annually.

Section 3. The Executive Board shall consist of:
  1. President
  2. Vice-President, President-Elect
  3. Secretary
  4. Treasurer
  5. Chairs of all standing committees
  6. Three (3) Directors at Large
  7. Appointed positions as listed in Article V, Section 4.

Section 4. Should the office of President become vacant, the Vice-President-President Elect shall become President. Any vacancies in the offices of Vice-President, President-Elect, Secretary and Treasurer other vacancy on the Executive Board shall be filled by a special election at a meeting of the Fox Valley Library Council appointment by the President and confirmation by the Executive Board.

Section 5. All members of the Executive Board shall perform those duties normally associated with their respective offices and shall administer those policies established by the Board or the membership of the Council at large. The Executive Board shall meet at least four times per year.

Article V. Committees and Appointed Positions

Section 1. All standing committee chairs shall be nominated by the President and approved by the Council at large. Committee chairs shall select members to their respective committees. Committee appointments shall be for one year. Annually, the President shall appoint, for confirmation by the Executive Board, a Resource Sharing Committee chair and an Education Committee chair. The committee chairs shall select members for the respective committees.

  1. The Resource Sharing Committee shall be responsible for facilitating or coordinating interlibrary loan or the sharing of library information or materials among the membership.
  2. The Education Committee shall be responsible for planning programs for meetings and providing information about continuing education opportunities to members.

Section 2. Standing committees are:

  1. Constitution and Bylaws
  2. Planning
  3. Public Relations
  4. Membership
  5. Resource Sharing
  6. Education

Section 2. The President, with the approval of the Executive Board, may appoint additional committees or individuals to carry out the work of the Council. Such appointments shall be for the period of one year.

Section 3. All appointed positions shall be nominated by the President and approved by the Council at large.

Section 4. Appointed positions are:

  1. Council Advocate
  2. Intellectual Freedom Advocate
  3. Webmaster

Article VI. Meetings

The President shall call two meetings per year to include an annual meeting of the Fox Valley Library Council each May. Other meetings of the Fox Valley Library Council may be called by the President and/or Executive Board. The members present shall constitute a quorum. Written notice of all Fox Valley Library Council meetings shall be mailed to the members at least ten days prior to the meeting.

Article VII. Amendments

These bylaws may be amended or revised by action of 2/3 majority vote of the Fox Valley Library Council members present and voting at any regularly scheduled meeting of the Fox Valley Library Council, provided that the notice of any such meeting contains a summary of the proposed amendment or amendments.
