I. Name
The name of this organization shall be the Green
Apple Folk Music Society.
II. Purpose
The purpose of the organization shall be to
promote and encourage folk music, particularly in east central Wisconsin.
III. Form of organization
Green Apple Folk Music Society shall be a membership
organization and a nonprofit corporation under the laws of the state of
Wisconsin.
IV. Membership
Membership shall be open to any individual or
family supporting the purpose of the organization. Members shall have all
rights and privileges so long as they pay membership dues. Membership may
be revoked for cause by a ¾ vote of the Board of Directors.
V. General Membership Meetings
A. The Board of Directors shall call an annual
membership meeting between August 15 and September 15 of each year. Every
member of the organization shall be notified in writing at least two weeks
in advance of the meeting.
At this meeting, members shall elect a Board of Directors
for the coming year. Members may also initiate such other business as any
member desires. Votes of the membership shall be binding upon the Board.
B. The Board shall convene a general membership meeting on
any other occasion when a majority of the membership shall petition for
one. The petition shall state any causes for requesting the meeting. Within
30 days after receipt of such a petition by any officer of the Board, the
Board shall set a date for a general membership meeting.Every member of
the organization shall be notified in writing at least two weeks in advance
of the meeting. The agenda of this meeting shall be limited to any items
identified in the petition.
VI. Board of Directors
The Board of Directors shall consist of at least
five, and no more than fifteen, members elected at the annual meeting.
Board members are elected for one-year terms; there is no limit to the
number of terms a Board member may serve. A quorum for doing business shall
consist of a majority of Board members. Duties of the Board include planning
the regular business of the organization, including public events, collecting
all fees and discharging all debts of the organization. Unless directed
by the membership, the Board shall set admission fees, dues, and schedules.
VII. Officers
A. Election
Sitting Board members at the first regular Board meeting
following the annual meeting shall elect officers for a one-year term,
with no limit on successive terms.
B. Duties
1. President
The President shall be the executive officer for the
organization, and shall convene, set the agenda for and conduct all meetings.
2. Vice President
The Vice President shall fulfill the President’s duties
in the absence of the President.
3. Secretary
The Secretary shall record and distribute minutes of
actions taken at all Board meetings and membership meetings. The Secretary
shall also undertake any correspondence as directed by the Board.
4. Treasurer
The Treasurer shall receive and disburse the
funds of the organization and shall make a financial report at each meeting.
VIII. Committees
Committees shall be appointed ad hoc as the
Board deems necessary for conducting the business of the organization.
IX. Order of Business
To the extent possible, meetings will be informal
and decisions by consensus. In the event that formal order is needed, the
most recent edition of Robert Rules of Order Newly Revised will
be followed.
X. Amendments
These bylaws may be amended by a majority vote
of members present at a membership meeting, provided that notice of proposed
amendments has been provided to all members in writing in advance of the
meeting.
XI. Dissolution
Should the organization cease to function, the officers
may legally dissolve the corporation. In that event, any remaining assets
will be divided among local nonprofit charities providing food and shelter
to those in need.
